TVS Srichakra Limited (“the Company”) has disclosed a strategic investment of ₹3.78 Crores (specifically ₹3,78,79,138) to acquire 19,863 equity shares of Navia Two Power Private Limited (“Navia”). The acquisition was made through a rights issue subscription at a face value of ₹10 per share with a premium of ₹1,897.02 per share. Following this transaction, the company’s total shareholding in Navia has increased from 5,915 to 25,778 equity shares, representing a 5.92% stake in the paid-up equity share capital of the entity.

The investment, completed on March 20, 2026, is aimed at securing solar power under a Group Captive mode to meet regulatory requirements for captive power consumption under Indian electricity laws. Navia Two Power Private Limited is an Indian special-purpose vehicle incorporated on August 12, 2024, and is primarily engaged in generating electric power using non-conventional sources. This transaction does not fall under related party transactions, and no promoter or group companies have any interest in Navia.

TVS Srichakra Limited is a leading Indian manufacturer of tires and tubes for two-wheelers, three-wheelers, and off-highway vehicles, marketing its products under the “TVS Eurogrip” and “TVS Srichakra” brands. In recent 2025 updates, the company expanded its retail network by opening its 11th exclusive store in West Delhi and strengthened its global footprint by showcasing premium portfolios at international motor shows like EICMA and Automechanika Dubai. Additionally, the company recently issued a postal ballot notice for the re-appointment of Mr. R Naresh as Managing Director for a three-year term starting June 16, 2026.

For the third quarter ended December 31, 2025 (Q3 FY26), the company reported a consolidated revenue of ₹916.51 Crores, reflecting a 14.17% growth compared to ₹802.73 Crores in the corresponding quarter of the previous year. Consolidated net profit for the quarter stood at ₹11.15 Crores, a significant turnaround from a loss of ₹5.97 Crores in Q3 FY25. Notably, Quant Mutual Fund’s Quant Small Cap Fund is a prominent investor in the company, holding a 4.99% stake as of December 2025.
