Hi-Tech Pipes Limited has officially announced that its Board of Directors approved the 100% acquisition of Sain Software Systems Private Limited in a meeting held on March 31, 2026. Following the execution of a Share Purchase Agreement, the target entity will become a wholly-owned subsidiary of the company. This strategic move is intended to facilitate the acquisition of specific land and building assets for captive office use.

The acquisition, valued at Rs. 25.77 Crore based on an independent valuation report, is expected to be completed within a maximum period of 90 days. Sain Software Systems, incorporated in 2006, is an information technology services provider with a net worth of Rs. 2.35 Crore as of March 31, 2025. Although its primary business is IT, Hi-Tech Pipes plans to rebrand and align the entity with its core steel pipe operations to achieve better operational synergy and brand consistency.

Hi-Tech Pipes Limited is a leading Indian manufacturer specializing in a diverse range of steel products, including MS pipes, hollow sections, GI pipes, and solar torque tubes. Throughout 2025, the company achieved significant milestones, including the commencement of commercial production at its Sanand Unit-2 Phase II facility in Gujarat and its Kathua plant in Jammu & Kashmir. In November 2025, the company also laid the foundation stone for a new greenfield manufacturing project in Hindupur, Andhra Pradesh, aimed at reaching a total capacity of 2 million tonnes.

For the last quarterly results announced (Q3 FY26), the company reported its highest-ever quarterly consolidated revenue of Rs. 1,069.59 Crore, representing a 41% year-on-year growth. However, net profit for the quarter stood at Rs. 17.39 Crore, a decline of 9.2% YoY due to margin pressures from fluctuating steel prices. Notable shareholders in the company include the Bandhan Small Cap Fund, which held approximately 5.61% as a prominent public investor during 2025.
