Adani Enterprises Limited (AEL) has announced the successful completion of a significant acquisition through its wholly owned subsidiary, Adani Road Transport Limited (ARTL). The company has finalized the purchase of the remaining 49% equity share capital and 100% of the optionally convertible preference share capital of D P Jain TOT Toll Roads Private Limited (DPJ TOT). This move follows a previous acquisition of 51% of DPJ TOT’s equity in February 2026, making DPJ TOT a wholly owned subsidiary of ARTL.
The acquisition, which was initially agreed upon in September 2025, involved an enterprise value not exceeding ₹1,342 Crore. DPJ TOT holds the concession agreement for tolling, operation, maintenance, and transfer of a critical 106-kilometer section of NH-27 in Gujarat (Palanpur-Radhanpur-Samkhayali). With this final step, ARTL now has full control over the asset, aligning with its strategy to consolidate high-performing infrastructure projects under its portfolio.
Adani Enterprises serves as the flagship incubator for the Adani Group, scaling diverse businesses across airports, roads, data centers, and renewable energy. In 2025 and early 2026, the company achieved major milestones, including the commencement of operations at the greenfield Navi Mumbai International Airport and the operationalization of multiple HAM road projects. Recently, the company committed $100 Billion toward sovereign AI infrastructure and received a Letter of Award (LoA) to develop the Mithi River project.
For the quarter ended December 31, 2025, Adani Enterprises reported a consolidated revenue of ₹24,820 Crore, representing an 8.6% growth compared to ₹22,848 Crore in the same period last year. The company’s net profit saw a dramatic multifold jump to ₹5,627 Crore, largely driven by an exceptional gain of ₹5,632 Crore from a partial stake sale in its consumer goods venture, Adani Wilmar. Notably, institutional investors and long-term funds have shown continued interest, though their holding slightly decreased to 18.35% in the December 2025 quarter.
