On April 25, 2026, UPL Limited announced a significant further investment in its Brazilian associate, Sinova Inovacoes Agricolas S.A.. The investment, executed through UPL’s step-down subsidiary United Phosphorus Holdings Brazil B.V., involves an equity infusion of approximately USD 86.7 million (BRL 450 million). This transaction is classified as a related party investment and is expected to be completed by May 15, 2026.

The primary objectives of this equity infusion are to address the working capital requirements of Sinova and to facilitate debt reduction. Sinova, formerly known as Sinagro Produtos Agropecuarios S.A., is a major reseller of agricultural products in Brazil’s ‘Cerrado’ region. Following this investment, UPL Brazil’s shareholding in Sinova will increase from 49.97% to 55.81%.
