This notice pertains to the company’s strategic acquisition of Zuri Hotels and Resorts Private Limited (ZHRPL). Pursuant to the Board of Directors’ approval, the company has executed a Share Purchase Agreement to acquire 100% of the share capital of ZHRPL. The acquisition, valued at an enterprise value of ₹205 Crores on a cash-free, debt-free basis, marks the company’s first owned resort in Kerala.

The acquired entity, ZHRPL, owns and operates ‘The Zuri Kumarakom, Kerala Resort & Spa,’ a 72-key luxury resort spread over 18 acres in Goa and Kerala. This move is intended to strengthen the company’s footprint in high-growth leisure destinations. The property will undergo extensive renovation and will eventually be rebranded under the ITC Hotels luxury brand. This strategic cornerstone in the company’s journey aims to integrate the resort’s culinary excellence and Ayurvedic wellness offerings to elevate guest experiences.
