Astral Limited has formally announced that its wholly owned subsidiary, Astral Chemie Limited (ACL), has entered into definitive agreements to acquire a 60% partnership interest in Differentiated and Sustainable Solutions LLP (DSS) for an aggregate cash consideration of 39.11 Crores. This acquisition is designed to integrate advanced specialty chemical technologies into Astral’s existing portfolio.
Under the terms of the agreement, the acquisition involves a 60% stake in DSS, which is expected to be completed on or before August 31, 2026, subject to the satisfaction of conditions precedent. By acquiring this interest, DSS will transition into a subsidiary of ACL and consequently become a step-down subsidiary of Astral Limited. The target entity, DSS, is a Limited Liability Partnership incorporated in 2015, based in Bharuch, Gujarat, and specializes in developing technologies for specialty chemicals and materials used in sectors such as electronics, aerospace, renewable energy, and infrastructure.
Astral Limited is a prominent Indian company in the building materials and infrastructure sector, known for pioneering CPVC piping systems in India. The company has diversified its business significantly over the years, spanning pipes and fittings, adhesives and sealants, construction chemicals, paints, and sanitaryware. In recent developments during 2025, the company continued its expansion strategy by approving the acquisition of 100% equity share capital of Al-Aziz Plastics in April 2025. Astral is led by first-generation entrepreneur and Chairman Sandeep Engineer. The company’s institutional investors include SBI Funds Management Limited and Vanguard Capital Management, LLC.
Financial performance for the fiscal year 2025 reflected the company’s scale, with consolidated revenue of 5,832.4 Crores and a net profit of 518.9 Crores. While the company maintains a robust market position, its financial results in recent quarters have shown the impact of broader industry demand challenges and input cost pressures.
